Job Description

Position Summary

We are seeking an experienced paralegal join our international Corporate Secretarial team. This role will work collaboratively with the Canadian team to coordinate, administer and maintain the corporate records of the U.S. entities within the enterprise.

Tasks and Responsibilities

  • Working with the corporate secretarial team based in Canada to coordinate and implement enterprise-wide initiatives;

  • Coordinating and maintaining appropriate corporate and shareholder records and registrations;

  • Preparing corporate resolutions approving various transactions;

  • Working with external providers to ensure proper filing of records office changes, changes in shareholders, directors and officers, etc.;

  • Arranging subsidiary board/committee meetings; assisting in planning and determining agendas; managing meeting logistics, including the coordination, preparation and distribution of materials, meeting agendas, notifications, meeting minutes, and preparing resolutions for boards of directors/committees;

  • Efficiently handling time sensitive materials including security issuances and regulatory compliance issues

Qualifications and Skills

  • High School Diploma/GED

  • Minimum of two (2) years’ work experience in a corporate governance environment, including in a board support function, corporate paralegal, or senior level administrator in legal and corporate records

  • Ability to work independently as a member of a remote team, prioritize, maintain a high level of efficiency, and work within tight deadlines

  • Superior organizational skills, with the ability to manage competing priorities, multi-task and achieve strict deadlines

  • Experience with regulatory compliance/filings; working knowledge of corporate and securities law

  • Excellent knowledge of the complete MS Office package with exposure to other web-based applications (Diligent)

  • Highly professional, discreet, collaborative, and resourceful

  • Strong interpersonal skills and the ability to communicate with all levels of stakeholders
