South Jersey Industries Director, Corporate Secretary in United States

Reports To: SVP, General Counsel

Supervises: Assistant Corporate Secretary

Basic Function: Maintains responsibility for preparing and maintaining official corporate records, notices, and actions as required by federal, state, and local jurisdictions and by other regulatory authorities; Assists in advising the board and senior team on best practices; monitor ISS guidance and applicable regulations; advises on any changes in guidance by SEC, NYSE or other regulatory body related to board governance; reviews internal policies and practices to ensure that the board is in line with its peers.

Qualifications:

  • Degree from an American Bar Association approved law school and licensed to practice law in the State of New Jersey

  • Minimum of eight to ten years’ Corporate Secretary experience including managerial roles

  • SEC experience preferred

Essential Functions:

  • Arranges Board of Directors meetings, oversees shareholder relations, signs and applies the organizational seal to documents, and performs other duties in accordance to the charter, by-laws, and legal requirements.

  • Responsible for preparing reports for corporate officials and serving as a liaison between clients and organizational management.

  • Provide customer service through maintaining communication, directing questions, documenting messages, and researching answers.

  • Provides special project support as requested. Performs legal special projects as assigned.

  • Perform duties inherent in all supervisory, professional and administrative positions. Consistent with all positions in this classification, additional projects, tasks and/or duties beyond what is outlined here may be assigned as required
