Position Description

Responsible to oversee the External Reporting, Accounting Research and Accounting Policy functions. This includes responsibility for all matters addressed in the Company’s SEC and FERC filings and bank financial statements, including compliance with GAAP, SOX and SEC reporting requirements to include the financial statements, footnotes, risk factors, MD&A, and required disclosures. Also responsible for formulating and implementing accounting policies and procedures, accounting research and memo writing to document accounting conclusions, and supporting the Controller in the oversight of an effectively designed and operating system of internal controls over financial reporting including statistical data and SOX controls.

Position-Related Responsibilities

· Responsible for managing external financial reporting processes to ensure timely, accurate and complete financial statements, footnotes and required disclosures in SEC, FERC and other external filings in accordance with all related deadlines and in full compliance with applicable rules and regulations.

· Responsible for assisting in the completion of monthly general ledger closings as needed.

· Responsible for the formulation and implementation of accounting policies and procedures for the company.

· Responsible for the completion of financial accounting research for monthly journal entries and financial statements preparations and special accounting and financial reporting projects.

· Participates in cross-functional analyses of novel business opportunities to identify accounting and financial statement ramifications.

· Supervise and assign responsibility to staff and guide their professional development including on-the-job training on accounting, control and disclosure matters.

· Monitors activity of regulatory rule-making bodies such as FASB, SEC, FERC, to identify new requirements. Leads the design and implementation of procedures to comply with new requirements. Ensures timely internal communication ensure alignment with business areas as needed.

· Analyze and make changes to processes to ensure that the internal control environment is appropriately and efficiently designed and effectively operating.

· Responsible for participating in directing completion of responses to regulatory requests (e.g., ACC, FERC and SEC).

· Supports senior leadership with analysis and decision-making support.

· This position may provide services to affiliates of the Company subject to the UNS Energy Code of Conduct and the related Policies and Procedures.

Management Responsibilities

· Ensure that the Company’s management principles, policies and programs are consistently practiced and continually support the Affirmative Action Plan.

· Assume fiduciary responsibility for operating the business and provide recommendations on cost improvement measures.

· Ensure that the Performance Management program is administered uniformly and effectively.

· Comply with and administer the terms and conditions of the Collective Bargaining Agreement when applicable.

· Administers personnel functions, including recruiting, review and approval of job descriptions and salary classifications, and selection and placement of personnel. Participates in hiring, termination, promoting, assignment and direction of staff. Ensure compliance with all applicable local, state and federal laws, regulations and standards, company policies, practices and ethical obligations to investigate, evaluate and recommend appropriate resolution to employee complaints.

· Promotes and participates in the professional development, personal growth and career planning of staff. Motivate, recognize and reward, coach, counsel, train; provide feedback to employees during performance reviews. Participates in Leadership Development programs.

· Addresses disciplinary and/or performance issues, according to company policy, and communicates effectively with employees regarding corrective action. Has input into the adjustment of grievances and administration of discipline.

· Plans day-to-day operations, estimates personnel needs and schedules and assigns work. Evaluate the structure and team plan for continual improvement of the efficiency and effectiveness of the group.

Knowledge, Skills & Abilities

(Equivalent combination of education and experience will be considered.)

· High school diploma or GED.

· Bachelor’s degree with a major in accounting is required, including a minimum of 24 semester hours in accounting, from an accredited college or university. An advanced degree is preferred (e.g., MBA).

· A minimum of 10 years of relevant experience in accounting

· Prefer a CPA with “Big 4” audit manager background and electric utility experience.

· Thorough knowledge of GAAP promulgations and SEC requirements. Possess advanced accounting expertise; must be conversant with accounting pronouncements and technical literature.

· Must be able to determine the accounting ramifications of transactions. The Company’s accounting is more complex than most companies with comparable revenue.

· Excellent verbal and written communication skills. Must be able to communicate with all personnel levels within the organization, including senior management and the Board of Directors.

· Must have knowledge of internal controls. Must be able to evaluate and effectively create and implement changes to maintain proper internal controls and enhance efficiency.

· Must be able to effectively supervise multiple projects to successful completion.

· Must possess strong analytical and effective decision-making skills.
