The Associate General Counsel (AGC) will lead or assist on proactively managing and mitigating risk across all business units of the organization, and provide support in all subject matter areas of commercial and tort litigation. The AGC is expected to oversee high impact litigation and, where appropriate, directly handle matters in judicial, regulatory, and arbitral forums. The AGC will supervise a group of attorneys and legal professionals in the litigation department within the Baltimore, DC, and Delaware region. The role will report to the company’s Vice President and Deputy General Counsel of Litigation.


  1. Advises clients with respect to all aspects of litigation; provides counsel and guidance to officers and executives of corporation regarding legal issues related to litigation, investigations, and related matters

  2. Represents Exelon in dealing with outside law firms, government agencies, court representatives and others in the legal profession as delegated by the Vice President and Deputy General Counsel

  3. Effectively manages, monitors and assists in the career development of all attorneys and legal professionals and ensures that appropriate evaluation procedures are conducted major segments of law department

  4. Prepare, and revise as necessary, budgets and early matter assessments for all matters involving outside counsel

  5. Works with entire Exelon legal function to continually improve delivery of legal services for particular practice areas

  6. Perform significant projects / duties as assigned by the General Counsel or Deputy General Counsel



An LLB or JD from an accredited law school and be licensed to practice law in Maryland.

Self-motivated with strong work ethic and the ability to work independently and efficiently

At least 12 years of professional experience and widely recognized distinction for his/her commercial litigation practice.


Experience in managing outside counsel, including tactical guidance, staffing, case management, budgeting, and alignment with broader corporate legal strategy.

Extensive knowledge of courts, regulatory agencies and other applicable legal entities.

Experience with Energy or Utility industries preferred, but not required

Proven ability to lead a diverse team of attorneys and legal professionals


  • Provides legal services as a practicing counsel, and directly manages relationships and matters with Business Units and outside counsel.

  • Able to think strategically and work with Business Units to achieve Company objectives and manage litigation risks
